Ensure all provided content and requirements comply with applicable laws and regulations

Payment Terms and Conditions

Payment Schedule

Project-Based Services:According to the project agreement
Monthly Services: Payment due within 7 days of invoice date
Quarterly/Annual Plans: Payment in advance or as per agreed schedule
Staffing Services: Monthly billing based on actual hours/placements

Late Payment Policy

Late payment charges: 2% per month on overdue amounts
Services may be suspended for payments overdue by 30+ days
Legal action may be taken for payments overdue by 60+ days

Intellectual Property Rights

Work Product Ownership

Custom Development: Client owns final deliverables upon full payment
Design Elements: Original designs become client property after project completion
Content Creation: Marketing content and copy ownership transfers to client
Source Code: Custom-developed code ownership transfers upon full payment

Nirnay Group Retains

Proprietary methodologies, processes, and frameworks
Pre-existing intellectual property and tools
General knowledge and experience gained
Right to use work as portfolio examples (with client consent)

Third-Party Components

Licensed software and plugins remain property of original owners
Stock images, fonts, and assets subject to their respective licenses
Open-source components governed by their specific licenses

Limitation of Liability

To the maximum extent permitted by law:

Service Guarantees

We provide services using industry best practices and professional standards
Results may vary based on market conditions, competition, and external factors
We cannot guarantee specific outcomes, rankings, or revenue increases
Performance metrics are estimates based on historical data and industry benchmarks

Liability Limitations

Total liability limited to the amount paid for the specific service
No liability for indirect, consequential, or special damages
No liability for loss of profits, data, or business opportunities
Claims must be made within 90 days of the event giving rise to the claim

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures by third parties.

Termination of Services

Client Termination Rights

30-day written notice for ongoing monthly services
Immediate termination for project-based services with appropriate compensation
Termination for convenience with payment for work completed
All outstanding invoices due upon termination

Company Termination Rights

Immediate termination for non-payment after 30-day notice
Termination for breach of terms after 15-day cure period
Termination for illegal or unethical requests
Termination if client relationship becomes commercially unviable

Post-Termination

Client data returned or securely destroyed as requested
Access credentials and accounts deactivated
Final invoice and project handover within 15 days
Confidentiality obligations continue indefinitely

Governing Law and Dispute Resolution

Jurisdiction

These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

Dispute Resolution Process

Direct Negotiation: Good faith discussions between parties (30 days)
Mediation: Third-party mediation if direct negotiation fails (30 days)
Arbitration: Binding arbitration under Indian Arbitration Act
Legal Action: Court proceedings as last resort

Limitation of Claims

Any claim or dispute must be filed within one year after the claim or cause of action arises, or it will be permanently barred.
